We advise on structuring credit transactions, drafting loan agreements, mortgages and pledges, creating financial security interests and registration in the relevant registers. We provide legal assistance in debt restructuring and management of non-performing loans.

- Can unfair clauses in a Bulgarian bank loan contract be challenged?
- Yes. Under the Consumer Credit Act and the Consumer Protection Act (implementing EU Directives), courts can declare contractual terms unfair and void where they create a significant imbalance to the detriment of the consumer. Bulgarian courts have voided variable interest rate clauses, early repayment fees and unilateral bank charges in a substantial body of case law. Claims can be filed in court or raised as a defence in enforcement proceedings.
- What collateral is typically required for business financing in Bulgaria?
- Bulgarian banks typically require: mortgage over real estate (registered with the Cadastre and Property Register), pledge over company shares (registered with the Commercial Register), assignment of receivables or insurance policies, and personal guarantees from owners/directors. The registration of security interests is essential — an unregistered pledge or mortgage generally cannot be enforced against third parties.
