Who we are

Global Lex Consulting is a law firm based in Sofia, Bulgaria, providing legal and consulting services to local and foreign companies, entrepreneurs, investors and individuals.

Our practice covers a broad range of areas of Bulgarian law, with our core focus on corporate and commercial law, tax structuring, real estate, contractual relations, litigation and representation, investment and cross-border matters.

We work with both Bulgarian companies and individuals and foreign clients planning to invest, develop a business, acquire property or establish themselves in Bulgaria.

For us, good legal service does not end with giving a legal opinion. Our goal is to understand what the client wants to achieve, identify the legal and practical risks, and propose a workable solution aligned with their business and personal objectives.

Our practice

Corporate and commercial law

We advise companies and entrepreneurs on matters relating to the incorporation, management, development and restructuring of their business.

We assist clients in choosing and building the appropriate corporate structure, relations between partners and shareholders, transactions in shares and stakes, changes in management, increases and reductions of capital, business reorganisation and ongoing corporate support.

We also assist with the preparation, negotiation and execution of commercial contracts and complex business transactions, aiming for the legal structure to match the way the client actually intends to run the business.

Tax law and structuring

Tax planning is an integral part of properly structuring a business.

We advise clients on the tax implications of various business models and transactions, structuring of activities, cross-border operations, the allocation of functions and risks between related parties, and other matters with a direct bearing on the economic efficiency of the business.

Where needed, we work in coordination with tax and accounting specialists, so that the legal and tax structure are considered as a whole.

Contracts and law of obligations

A significant part of our day-to-day work relates to the contractual relations between a business and its partners, clients, suppliers, investors and counterparties.

We draft and review contracts, advise during negotiations, and assess the legal consequences of non-performance, delayed performance, termination of contractual relations, penalties, damages and other forms of contractual and non-contractual liability.

Where a dispute arises, we look for a solution that protects not only the client's formal rights but also their real economic interest.

Real estate

We provide legal assistance with the acquisition, sale and investment in real estate, for both Bulgarian and foreign clients.

We carry out legal analysis of title and property documents, check for encumbrances and other legal risks, and advise clients on the structure and terms of the transaction.

We also assist with preliminary contracts, sale and purchase agreements, construction and investment projects, and disputes relating to ownership and the performance of contractual obligations.

Litigation and dispute resolution

We represent clients before the civil, commercial and administrative courts and before the competent state authorities.

We handle disputes relating to contractual relations, claims, non-performance, penalties and damages, commercial relations, real estate and other civil and commercial law matters.

We aim for a dispute to be assessed not only from the standpoint of the procedural means of protection, but also in terms of cost, time and the client's real interest.

Investment and establishing a business in Bulgaria

We assist foreign investors and entrepreneurs in planning and carrying out investments and business projects in Bulgaria.

This may include choosing a corporate structure, incorporating a company, contractual relations, banking, tax structuring, acquisition of assets, real estate, and other legal matters relating to entering the Bulgarian market.

Where a project requires foreign nationals to establish themselves in Bulgaria, we also provide legal assistance with visa, immigration and citizenship procedures.

Immigration, residence and citizenship

We provide legal assistance to foreign nationals in obtaining visas, residence and work permits, family reunification, acquiring Bulgarian citizenship, and other procedures under Bulgarian migration and citizenship legislation.

International practice

We work with clients from different jurisdictions, often on matters involving corporate, tax, investment and immigration aspects at the same time.

This requires not only knowledge of Bulgarian law, but also the ability to understand the overall structure of the international transaction or business relationship and to coordinate its various legal and practical aspects.

Our role is often to be the foreign client's legal point of contact in Bulgaria — from initial research and structuring through to the execution of the project and subsequent legal support.

Our philosophy

We believe good legal advice must be accurate, practical, timely and easy to understand.

We do not believe an attorney's value is measured solely by the volume of statutory provisions they can cite. The value lies in the ability to understand the problem, assess the risk, and turn the available legal options into a concrete strategy.

That is why we do not simply try to answer the question "What does the law say?" but also the more important question: "What is the most sensible solution for the client in this particular situation?"
